This Non Disclosure Agreement (“Agreement”) is entered into as of [Effective Date], to protect confidential information that may be exchanged between the parties during discussions concerning a potential or existing business relationship.
For the purposes of this Agreement, “Confidential Information” includes all written, electronic, or oral information that is disclosed or made available, directly or indirectly, to the Receiving Party, including, but not limited to, business plans, strategies, customer lists, and financial data.
The Receiving Party agrees to: (a) keep the Confidential Information confidential; (b) not disclose the Confidential Information to any third parties without prior written consent from the Disclosing Party; and (c) limit access to the Confidential Information to employees or agents who necessitate this information for the intended purpose and who are bound by confidentiality obligations at least as protective as those in this Agreement.
Confidential Information does not include information that is: (a) publicly known at the time of disclosure; (b) received from a third party without breach of an obligation of confidentiality; (c) independently developed by the Receiving Party without the use of or reference to the Disclosing Party’s Confidential Information; or (d) required to be disclosed by law or court order.
This Agreement shall commence on [Effective Date] and continue for a period of [Duration], unless terminated earlier by either party with [Notice Period]. Upon termination, the Receiving Party agrees to return or destroy all Confidential Information and any copies thereof in its possession.

This Non Disclosure Agreement (“Agreement”) is made on [Effective Date] to establish a confidential relationship between the parties for the purpose of discussing and evaluating a potential business opportunity.
“Confidential Information” refers to any data or information that is proprietary to either party, which is disclosed during negotiations or discussions and is not generally known to the public.
